The ultimate goal of corporate performance derived from its concept to unify the effectiveness and efficiency of the company to achieve the company's goals. Accounting and management literature has emphasizing the important role of intellectual capital (IC) and board of directors (BOD) in corporate governance (CG) as an indispensable element for corporate performance. ICs are defined as knowledge assets, while CG represents the system in which the company is directed and controlled. The main objective of CG lies with BOD's ability to provide good CG to the company. Though IC literature and BOD's role literature expand rapidly, IC BOD assimilation problem and its effectiveness in determining corporate performance is still low attention, especially in developing countries like the Middle East as a result a relatively less developed capital market. Therefore, to fill the gap mentioned above, this study was conducted to investigate the influence of IC BOD on its effectiveness on corporate performance. This study also investigates the effects of mediation effectiveness of BOD between IC BOD and corporate performance. A total of 292 sets of questions a survey was distributed to one of the board members of the Iranian company listed at Tehran Stock Exchange. Data collected were analyzed using SPSS and Smart PLS. The findings show that IC BOD is positive affect the effectiveness of BOD and company performance. Similarly, effectiveness The BOD has a positive impact on corporate performance. The result is also shows the role of intermediate BOD effectiveness between IC BOD and corporate performance. This study uniquely contributes to the literature related to IC, CG and corporate performance by introducing eye cards balanced as a measure to represent corporate performance. This study is important for introducing the board process as an indicator of BOD's effectiveness. This research also provide empirical evidence to academics and policy makers in the East Middle, especially Iran. It is recommended that future research be investigated the process of appointing a listed BOD to ensure that the directors are appointed based on their IC capacity and capability snhas UTM 242 p.
